These Terms of Service (“Terms”) govern your access to and use of the website at shop.adsmit.in (the “Site”) and any products, digital assets, or services offered by Adsmit Solutions LLC (“Adsmit”, “we”, “us”, or “our”). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase from us.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract. You may not use the Site or purchase from us if you are located in, or are a resident or national of, any jurisdiction where the purchase or use of our products is prohibited, or if you are subject to sanctions administered by the United States or any other applicable authority. By using the Site you represent and warrant that you meet these requirements.
2. Nature of Our Products
We are an independent reseller and supplier of digital advertising assets, including but not limited to advertising accounts, business manager assets, aged profiles, and pages, as well as related agency services. All products are intended exclusively for lawful business advertising. Products are digital and are delivered electronically.
You acknowledge and agree that:
- Third-party platforms (including Meta, Facebook, Instagram, TikTok, Google, and others) may, at their sole discretion and at any time, restrict, suspend, disable, or terminate any account or asset for reasons entirely outside our control;
- We do not control, and cannot guarantee, the behavior, longevity, performance, approval, reinstatement, or continued availability of any third-party platform account or asset;
- Any account ban, restriction, disablement, or platform enforcement action is a risk inherent to this category of product, is assumed entirely by you, and is not a defect, failure, or breach on our part, except to the limited extent expressly covered by our Replacement Rules;
- You purchase with full knowledge of these risks.
3. No Affiliation
Adsmit Solutions LLC is not affiliated with, endorsed by, sponsored by, or in any way officially connected to Meta Platforms, Inc., Facebook, Instagram, WhatsApp, TikTok, ByteDance, Google, or any other platform or company. All product names, logos, trademarks, and brands are the property of their respective owners and are used on this Site for identification and descriptive purposes only. Their use does not imply any endorsement or partnership.
4. Acceptable Use
You agree that you will not, and will not permit any third party to, use any product, service, or asset obtained from us to:
- engage in fraud, phishing, scams, identity theft, money laundering, or any deceptive or unlawful activity;
- distribute malware, spyware, or malicious code, or conduct spam or unsolicited bulk messaging;
- advertise, promote, or facilitate anything illegal in your jurisdiction or prohibited by the relevant platform’s policies, including but not limited to illicit drugs, weapons, counterfeit goods, fraudulent financial schemes, or content that exploits or endangers minors;
- infringe the intellectual property, privacy, or other rights of any person;
- circumvent, disrupt, or attack any platform, system, or network.
You are solely and exclusively responsible for how you use any product or asset, for all content and advertising you create or run, and for compliance with every applicable platform policy, law, and regulation. We expressly disclaim all responsibility and liability for your use.
5. Orders, Pricing, and Payment
All prices are listed in U.S. Dollars unless stated otherwise and are subject to change without notice. We accept cryptocurrency and store-wallet balance. Cryptocurrency payments are final, irreversible, and non-reversible once confirmed on the blockchain. You agree not to initiate any chargeback, payment dispute, or reversal; any such attempt is a material breach of these Terms and may result in immediate suspension and forfeiture of any pending orders, wallet balance, or replacement rights.
We reserve the right, at our sole discretion and without liability, to refuse, cancel, or limit any order; to request identity or payment verification; to refuse service to anyone; and to correct pricing or description errors at any time, including after an order is placed.
6. Compliance, Verification, and Anti-Fraud
We may, at our discretion, decline transactions, request additional information, or report activity that we reasonably believe to be fraudulent, unlawful, or in violation of these Terms or applicable anti-money-laundering or sanctions requirements. We may cancel any order we reasonably suspect is associated with prohibited use, without obligation to provide a reason.
7. Delivery
Products are digital and are typically delivered the same day after payment is confirmed, to the email or account associated with your order. Delivery times are estimates and are not guaranteed. You are responsible for providing accurate contact details and for keeping any delivered credentials secure.
8. Replacement and Refunds
Our Replacement Rules and Refund Policy are incorporated into these Terms by reference and set out the only circumstances in which a replacement or refund may be available. Except as expressly provided there, all sales are final.
9. Disclaimer of Warranties
All products and services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, or that any account or asset will remain active, perform as expected, or escape platform enforcement. No advice or information obtained from us creates any warranty not expressly stated here.
10. Limitation of Liability
To the maximum extent permitted by law, in no event shall Adsmit Solutions LLC, its owners, members, officers, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, advertising spend, or business opportunity, arising out of or relating to the Site, any product, or these Terms, whether based in contract, tort, strict liability, or any other theory, even if advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to a product or these Terms shall not exceed the amount you actually paid to us for the specific product giving rise to the claim. Some jurisdictions do not allow certain limitations; in such cases our liability is limited to the greatest extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Adsmit Solutions LLC and its owners, members, officers, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of any product, asset, or service; (b) your violation of these Terms or any law or platform policy; (c) any content or advertising you create or run; or (d) your infringement of any third-party right.
12. Assumption of Risk
You expressly acknowledge that purchasing and using advertising accounts and related digital assets carries inherent risk, including the risk of account restriction, suspension, or permanent ban by the platform, with or without notice and with or without cause. You accept all such risk. You agree that platform enforcement is not a basis for any claim against us beyond the limited remedies expressly set out in our Replacement Rules.
13. Accounts and Security
If you create a Site account or wallet, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use. We are not liable for any loss arising from your failure to safeguard your account.
14. Intellectual Property
The Site, including its design, text, graphics, and logos, is owned by or licensed to Adsmit Solutions LLC and is protected by intellectual property laws. You may not copy, reproduce, or exploit any part of the Site without our prior written consent.
15. Suspension and Termination
We may suspend or terminate your access to the Site or any account, and cancel any order, at any time and without liability, if we believe you have violated these Terms, engaged in prohibited or unlawful conduct, or created risk for us or others.
16. Force Majeure
We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including platform actions, network or supplier failures, blockchain disruptions, acts of government, or force majeure events.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively by final and binding individual arbitration, and not in court, except that either party may seek relief in a small-claims court for qualifying claims. You and Adsmit Solutions LLC each waive any right to a jury trial and any right to participate in a class, collective, or representative action. To the extent any dispute proceeds in court, you consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.
18. Changes to These Terms
We may update these Terms at any time. Changes are effective when posted, with the “Last updated” date revised. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
19. Severability and Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. These Terms, together with our Privacy Policy, Refund Policy, Replacement Rules, and Disclaimer, constitute the entire agreement between you and us regarding the Site.
